TERMS OF SERVICE

1. Acceptance of Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and IQ-Dash Technology LLC ("Company", "we", "us"). By accessing, registering for, or using the IQ-Dash platform (the "Service"), you unequivocally agree to these Terms. If you do not agree, do not use the Service.

2. Nature of the Platform (Venue Only)

IQ-Dash is strictly a technology platform that connects users seeking removal services ("Customers") with independent business entities ("Service Providers").

• NO EMPLOYMENT RELATIONSHIP: We are not the employer, principal, or agent of any Service Provider. Service Providers are independent contractors.
• NO SERVICE GUARANTEE: We do not control, supervise, or guarantee the quality, safety, or legality of the services provided by Service Providers.
• NO VERIFICATION WARRANTY: While we may conduct basic checks, we do not warrant that any Service Provider carries specific insurance, licensing, or bonding. Verification is the sole responsibility of the Customer.

3. AI Estimates & Pricing Limitations

THE SERVICE UTILIZES ARTIFICIAL INTELLIGENCE TO GENERATE PRICE ESTIMATES. YOU ACKNOWLEDGE AND AGREE THAT:

4. Fees and Payment Processing

4.1 Limited Payment Collection Agent: To the extent IQ-Dash facilitates payments via the App (e.g., via Stripe Connect), IQ-Dash acts as the Limited Payment Collection Agent for the Service Provider.

4.2 Discharge of Debt: Payment made by a Customer to IQ-Dash shall be considered the same as payment made directly to the Service Provider. The Service Provider agrees that the Customer's payment obligation is extinguished upon receipt of funds by IQ-Dash.

4.3 No Refunds by Platform: All subscription fees paid to IQ-Dash are non-refundable. Disputes regarding the quality of junk removal services must be resolved directly between Customer and Service Provider.

5. Intellectual Property & Data License

5.1 Ownership: IQ-Dash Technology LLC retains all rights, title, and interest in the Service, including its AI algorithms, code, and interfaces.

5.2 Irrevocable License to User Content: By uploading photos or data to the Service, you grant IQ-Dash a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, and transferable license to use, reproduce, modify, adapt, and analyze such content for any purpose, including but not limited to training AI models, improving algorithms, and marketing, provided that personal identifiers are removed in public-facing uses.

6. Indemnification

You agree to defend, indemnify, and hold harmless IQ-Dash, its officers, directors, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; or (c) your negligence or willful misconduct (including, for Service Providers, any property damage or injury caused during service).

8. Governing Law & Arbitration

• 8.1 Law: This Agreement is governed by the laws of the State of Utah, without regard to conflict of law principles.
• 8.2 Binding Arbitration: All disputes shall be resolved exclusively through binding arbitration administered by the AAA in Utah County, Utah.
• 8.3 Class Action Waiver: YOU AND IQ-DASH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

9. Termination

We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice and without liability, for any reason, including but not limited to a violation of these Terms.
